These Terms of Service ("Terms") govern your access to and use of the Yogen platform (the "Service") provided by Yogen, Inc. ("Yogen", "we", "us", or "our"). By registering for an account, subscribing to the Service, or otherwise accessing or using the Service, you agree to be bound by these Terms.

1. Accounts and Eligibility

1.1 Account Registration

You must register for an account to access most features of the Service. You agree to:

• Provide accurate, current, and complete information when registering.
• Maintain and promptly update your registration information.
• Safeguard your password and protect your account from unauthorized use.

1.2 Eligibility

You represent and warrant that:

• You are at least 18 years old.
• You have full power and authority to enter into these Terms and to perform your obligations hereunder.

2. Subscription, Free Trial & Payment

2.1 Plans and Pricing

We offer monthly and annual subscription plans. Pricing may vary based on the number of user licenses you purchase. Volume discounts are automatically applied as you add seats.

2.2 Free Trial & Free Tier

New users may access a 30‑day free trial of our paid features. We also offer a free tier with limited functionality. At the end of your trial, you will be automatically enrolled in your chosen paid plan unless you cancel before trial expiry.

2.3 Auto‑Renewal

All paid subscriptions automatically renew at the end of the subscription term (monthly or annual) unless canceled in accordance with Section 2.4.

2.4 Cancellation & Refunds

• You may cancel at any time via your account dashboard or by emailing help@getyogen.com. Cancellations take effect at the end of the current billing cycle.
• Annual subscriptions canceled within 30 days of initial purchase are eligible for a full refund. Monthly subscriptions are non‑refundable.
• To request a refund or cancellation, contact help@getyogen.com. Refunds, if applicable, will be issued within 30 days of approval.

3. Acceptable Use & Prohibited Conduct

3.1 Compliance

You agree to comply with all applicable laws, including GDPR for users in the EU and CCPA if collecting personal data of California residents.

3.2 Prohibited Conduct

You may not, and may not permit others to:

• Use the Service for any unlawful purpose, including hacking, spamming, distributing malware, or infringing any third‑party rights.
• Upload or share illegal, obscene, defamatory, or otherwise objectionable content.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with the security or integrity of the Service or data.

4. Intellectual Property & Data

4.1 Our Intellectual Property

The Service, its design, features, and functionality are owned by Yogen and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Your Data

You retain all rights in the content, data, and information you upload to the Service ("Your Data"). You grant Yogen a worldwide, non‑exclusive, royalty‑free license to host, use, copy, transmit, and display Your Data solely to provide, improve, and analyze the Service.

4.3 Aggregate Data

We may collect and use anonymized, aggregated data derived from Your Data and other users' data for analytics, research, and product improvements.

5. Confidentiality & Security

We implement industry-standard security measures (encryption in transit, firewall protections, regular backups) to protect Your Data. However, we do not guarantee any specific uptime SLA or performance level. You are responsible for maintaining backup copies of Your Data.

6. Suspension & Termination

6.1 Suspension

We reserve the right to suspend or disable your account if we believe you are abusing the Service, sharing credentials, or violating these Terms.

6.2 Termination

We may terminate your account immediately if you engage in hacking or any unauthorized activity that compromises the Service or other users' data.

6.3 Effect of Termination

Upon suspension or termination, your access to the Service ends. We may retain Your Data for analytics and internal purposes even after termination, unless you request deletion by emailing help@getyogen.com.

7. Disclaimers & Limitation of Liability

7.1 Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Yogen disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

7.2 Limitation of Liability

To the maximum extent permitted by law, in no event shall Yogen or its affiliates be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Yogen from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising solely from any hacking, unauthorized access, or security breach of the Service caused by your actions.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law provisions. You and Yogen consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any disputes arising out of or relating to these Terms.

10. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
